Pandr Trade Membership Terms

1. Introduction

These Pandr Trade Membership Terms ("Trade Terms") govern participation in the Pandr Trade programme operated by We Are Pandr Ltd ("Pandr", "we", "us", "our").

Pandr Trade is our standard trade and partnership programme, designed for dance schools, performing arts organisations, clubs, educational providers, retailers and businesses.

These Trade Terms should be read alongside the Pandr Terms of Service, Privacy Policy, Returns & Refund Policy and any other policies published by Pandr from time to time.

By applying for, accessing or using a Pandr Trade account, you agree to these Trade Terms.


2. What is Pandr Trade?

Pandr Trade provides approved members with access to products, pricing, support services and business resources designed to help manage uniforms, merchandise, dancewear and related products.

Pandr Trade is the foundation of Pandr's partnership services. Eligible members may also choose to participate in additional services including Pandr Rewards and Powered by Pandr.

Membership is free and there are no minimum order commitments.


3. Eligibility

Pandr Trade is intended for:

  • Dance schools
  • Performing arts organisations
  • Educational establishments
  • Clubs and societies
  • Retailers
  • Businesses and organisations

Membership applications are subject to approval by We Are Pandr Ltd.

We may request supporting information including:

  • Business or organisation name
  • Website or social media presence
  • Company registration details
  • VAT registration details
  • Evidence of trading activity
  • Other information reasonably required to verify eligibility

Pandr Trade is intended for organisations and individuals purchasing in connection with a business, organisation, club or educational activity.

We reserve the right to decline any application where we reasonably believe the applicant is not eligible for the programme.


4. Membership

Pandr Trade membership is free to join.

There are no annual fees, joining fees or minimum order commitments unless otherwise agreed in writing.

Approval of a Pandr Trade account does not create any obligation on We Are Pandr Ltd to continue providing access to the programme indefinitely.

Membership benefits may be amended, added, suspended or withdrawn from time to time.


5. Included Benefits

Subject to availability and operational requirements, Pandr Trade members may receive access to:

  • Exclusive partner pricing
  • Bulk order pricing and quantity discounts
  • No minimum order quantities on standard products
  • Free collection setup and onboarding support
  • Product advice and recommendations
  • Design and artwork support
  • Flexible collection management
  • Dedicated B2B ordering tools
  • Online order tracking and account management
  • UK-based customer support
  • Access to exclusive products and selected dancewear brands
  • Marketing support and promotional opportunities
  • Product launches and updates
  • Optional participation in Pandr Rewards
  • Optional participation in Powered by Pandr

The inclusion of any feature, benefit, promotion, support service or programme does not create a contractual obligation for Pandr to continue providing that feature indefinitely.


6. Collections & Product Setup

Pandr may assist members with the setup and management of product collections.

Collection setup is normally provided without charge unless otherwise agreed.

Members may request additions, removals or amendments to collections at any time.

Pandr reserves the right to approve, decline or amend requested changes where necessary for operational, commercial, technical or compliance reasons.

Collection setup, maintenance and amendments are subject to reasonable usage and operational capacity.


7. Product Advice & Design Support

Pandr may provide guidance relating to:

  • Product selection
  • Collection development
  • Branding
  • Artwork preparation
  • Uniform planning
  • Merchandise planning
  • Product suitability

All recommendations are provided in good faith based upon information available at the time.

Final purchasing decisions remain the responsibility of the member.


8. Ordering

Orders may be placed through:

  • Pandr online systems
  • Trade portals
  • Email
  • Telephone
  • In person

Orders remain subject to acceptance by Pandr.

Production will not begin until all required approvals, artwork and payments have been received where applicable.

Ordering, production, delivery, cancellations and returns are governed by the Pandr Terms of Service and associated policies.


9. Pricing

Trade pricing, bulk pricing and promotional pricing may vary based on:

  • Product type
  • Order quantity
  • Supplier pricing
  • Production requirements
  • Promotional activity
  • Market conditions

Pandr reserves the right to amend pricing structures at any time.

Where practical, reasonable notice will be provided of significant changes.

Nothing within Pandr Trade guarantees the future availability of any particular pricing structure, supplier arrangement or promotional offer.


10. Turnaround Times

Pandr aims to fulfil orders as quickly as possible.

Published turnaround times are service targets and not guaranteed delivery dates.

Production times may vary depending on:

  • Seasonal demand
  • Product type
  • Supplier availability
  • Order volume
  • Operational circumstances outside Pandr's reasonable control

Members should always allow sufficient time when planning performances, events, competitions or other deadlines.


11. Marketing Support

Pandr may provide marketing support including:

  • Product launches
  • Promotional campaigns
  • Social media content
  • Collection promotion
  • Product recommendations
  • Partner opportunities

Marketing support is provided at Pandr's discretion and may vary between members.

Nothing within Pandr Trade creates a contractual obligation for Pandr to provide any specific marketing service.


12. Marketing & Promotional Use

By participating in Pandr Trade, members grant We Are Pandr Ltd permission to photograph, reproduce, publish and use images, mock-ups, product photographs, garment designs, printed products, logos, school names and completed work produced by Pandr for marketing, promotional, portfolio, social media, advertising, website and business development purposes.

This permission includes, but is not limited to:

  • Social media posts
  • Website content
  • Product listings
  • Marketing materials
  • Printed literature
  • Trade show displays
  • Email marketing
  • Case studies
  • Portfolio examples

Where practical, Pandr may identify the relevant school, organisation or business when showcasing products, but is under no obligation to do so.

Members who do not wish their products, branding or organisation to be featured must notify Pandr in writing. Such requests will be respected for future content where reasonably practical.

This clause does not transfer ownership of any trademarks, logos, branding or intellectual property belonging to the member. Ownership of such rights remains with the member at all times.

Pandr will not knowingly use imagery in a manner that is misleading, defamatory or likely to cause reputational harm to the member.


13. Account Review

Pandr may review Trade accounts periodically to ensure they remain eligible for the programme.

We reserve the right to request updated information to verify continued eligibility.

Failure to provide requested information may result in account restrictions, suspension or removal from the programme.


14. Suspension & Termination

We Are Pandr Ltd may suspend, restrict or terminate a Pandr Trade account where we reasonably believe that:

  • The member is no longer operating as a business, school, club, organisation or eligible trade customer;
  • Information provided during the application process was inaccurate, incomplete or misleading;
  • The account is being used primarily for personal or consumer purchases;
  • Trade pricing or programme benefits are being misused;
  • Payments remain outstanding;
  • These Terms have been breached;
  • Fraudulent activity is suspected;
  • Continued participation creates operational, commercial or reputational risk.

Where practical, Pandr will attempt to contact the member before suspension or termination takes effect.

Termination of a Pandr Trade account does not affect any outstanding payment obligations or rights accrued before termination.

Pandr reserves the right to convert a Pandr Trade account to a standard retail account where it reasonably believes this is more appropriate than termination.


15. Pandr Rewards & Powered by Pandr

Eligible Pandr Trade members may choose to participate in additional services offered by Pandr.

Pandr Rewards

Pandr Rewards is a managed online shop programme that allows participating organisations to earn rewards on qualifying sales made through a dedicated Pandr-managed collection.

Participation is subject to the Pandr Terms of Service and any additional programme requirements.

Powered by Pandr

Powered by Pandr is a branded fulfilment and ecommerce solution that allows approved organisations to offer products through their own branded sales channels.

Participation is subject to separate Terms of Business, Service Level Agreements and operational requirements.


16. No Exclusivity

Participation in Pandr Trade does not create:

  • Exclusivity
  • Agency rights
  • Franchise rights
  • Employment
  • Joint venture arrangements

Unless otherwise agreed in writing, members remain free to purchase products from other suppliers and Pandr remains free to work with other organisations.


17. Relationship with Pandr Terms of Service

These Trade Terms supplement the Pandr Terms of Service.

Where a conflict exists between these Trade Terms and the Pandr Terms of Service, the Pandr Terms of Service shall take precedence unless expressly agreed otherwise in writing.


18. Changes to These Terms

Pandr may update these Trade Terms from time to time.

The latest version will be published on the Pandr website.

Continued participation in the programme following publication of updated Terms constitutes acceptance of those changes.
